1. Introduction

Astra Softwares provides a wide range of digital solutions tailored for individuals, startups, educational institutions, businesses, and government entities. Our core services include but are not limited to:

Failure to adhere to these responsibilities may result in limited access, account suspension, termination of services, or legal action where applicable.
5. Intellectual Property
All content, platforms, source code, systems, trademarks, logos, designs, and intellectual static/assets provided or developed by Astra Softwares—including but not limited to Portfolio Ready, AstraPilot, Q-Tutor, and Astra Kilimo—are the exclusive property of Astra Softwares, unless explicitly stated otherwise in a separate written agreement.
Users are granted a limited, non-transferable, non-exclusive license to access and use our services and platforms for personal, educational, or business use, in accordance with these Terms and Conditions.
Unless otherwise permitted by law or by Astra Softwares in writing, you agree not to:

5. Event Participation & Media Usage
Astra Softwares may host or attend public and private events such as workshops, exhibitions, tech meetups, hackathons, conferences, or outreach programs. During these events, photographs, video recordings, and other media may be taken for documentation, training, or promotional purposes.
By attending an event organized by Astra Softwares or by engaging with our team at a third-party event, you acknowledge and agree that you may appear in media content that could be published on our platforms including:

- Social media pages and reels
- Marketing or PR materials
- Digital galleries or event archives
These images and recordings are used to highlight our presence, impact, and community engagement and will not be used in any defamatory or misleading manner.
If you do not wish to appear in any published media, you may opt out by notifying us in advance or by emailing [email protected] with details of the event and your request. We will make reasonable efforts to honor your preferences where possible.
All media captured or published by Astra Softwares remains our intellectual property unless otherwise stated, and we reserve the right to edit, reproduce, and distribute such content in alignment with our branding and outreach goals.
6. Payment Terms
All fees and charges for services or products provided by Astra Softwares are detailed in official quotes, proposals, or pricing pages and are subject to change with prior notice.
- Payments are due as specified in the invoice or contract and must be made by the agreed payment method (e.g., bank transfer, mobile money, credit card, online payment gateways).
- For project-based work, a deposit or advance payment may be required before work begins, with the remaining balance due upon project completion or as outlined in the agreement.
- Subscription or recurring service payments are billed as per the selected plan and must be paid promptly to avoid suspension.
6.1 Invoicing
- Invoices will be issued electronically via email or an online billing platform.
- Clients should review invoices promptly and report any discrepancies within 7 business days.
6.2 Refunds and Cancellations
- Payments are generally non-refundable except where explicitly stated or required by law.
- If a service is canceled before commencement, any paid deposits may be subject to a cancellation fee as specified in the agreement.
- In cases where Astra Softwares fails to deliver agreed services, clients may request a refund or credit, subject to investigation and resolution.
6.3 Late Payments
- Late payments may incur additional charges, including interest or service suspension until payments are settled.
- Astra Softwares reserves the right to withhold deliverables or access to services for unpaid invoices.
6.4 Taxes and Duties
All prices exclude applicable taxes, duties, or levies, which shall be borne by the client as required by law.
7. Privacy and Data Protection
Astra Softwares is committed to protecting your privacy and ensuring the confidentiality, integrity, and security of the personal data you provide to us.
7.1 Data Collection
We may collect personal information such as your name, email, phone number, billing details, IP address, or usage data when you:
- Register on our platforms or subscribe to our services
- Enroll in our courses or training programs
- Use our web applications (e.g., Portfolio Ready, AstraPilot, Q-Tutor)

8. Service Level Agreement (SLA)
Astra Softwares provides hosting services directly or via trusted third-party providers to ensure reliable uptime and performance for our clients' websites and applications.
8.1 Uptime Commitment
We strive to maintain a minimum of 99.9% uptime on all hosted services, excluding planned maintenance, force majeure events, or issues beyond our control (e.g., third-party provider outages).
8.2 Third-Party Hosting
When hosting is provided through third-party platforms, the uptime and performance may be subject to the respective provider’s SLA. Astra Softwares will make every reasonable effort to liaise with such providers and address issues on behalf of the client.
8.3 Maintenance and Downtime
Scheduled maintenance will be communicated in advance where possible. Emergency maintenance may occur without notice to ensure the security or functionality of hosted services.
8.4 Limitation of Liability
Astra Softwares is not liable for any direct or indirect loss of revenue, data, or business resulting from downtime caused by third-party hosting providers, acts of God, cyberattacks, or unforeseen technical failures.
8.5 Reporting and Support

9. Affiliate & Reseller Terms
Astra Softwares may offer affiliate and reseller opportunities, enabling individuals or organizations to promote or resell our products and services in exchange for a commission or profit margin. By participating, you agree to the following terms:
9.1 Eligibility
You must be at least 18 years of age and have a valid payment method to receive commissions or reseller payments. We reserve the right to approve or reject any application at our discretion.
9.2 Fair Use and Ethical Conduct
Affiliates and resellers must represent Astra Softwares honestly and ethically. False advertising, misleading claims, or unauthorized brand modifications are strictly prohibited and may lead to immediate termination.
9.3 Commission Payments
Affiliates are eligible for commissions only on verified sales or leads that meet our criteria. Payout thresholds and timelines will be communicated during onboarding or via your affiliate dashboard. Astra Softwares reserves the right to adjust commission rates or terms with prior notice.
9.4 Reseller Responsibilities
Resellers are responsible for managing their client relationships. Astra Softwares will provide backend support, but billing, communication, and local compliance remain your responsibility unless otherwise agreed.
9.5 Termination
We reserve the right to terminate any affiliate or reseller agreement without notice in cases of fraud, misuse, or breach of these terms. In such cases, pending commissions may be withheld.

10. Use of AI Tools & Third-Party APIs
Astra Softwares integrates Artificial Intelligence (AI) models and third-party APIs (Application Programming Interfaces) into its platforms and services, including but not limited to:

- ElevenLabs (text-to-speech and voice AI)
- AssemblyAI (speech-to-text and audio transcription)
- Other tools or APIs as needed to enhance user experiences
10.1 Disclaimer on AI Outputs
While we strive to ensure high-quality AI responses and outputs, all content generated by AI tools is provided on an "as-is" basis. Astra Softwares does not guarantee the accuracy, completeness, or suitability of AI-generated suggestions, code, transcriptions, or voice responses.
Users are responsible for reviewing and validating any AI-generated content before relying on it for academic, legal, business, or medical decisions.
10.2 Third-Party API Limitations
Our systems depend on the reliability and availability of third-party APIs. Interruptions, downtime, or changes in those services may affect functionality temporarily. Astra Softwares is not liable for damages caused by such disruptions.
10.3 Limitation of Liability
Under no circumstances shall Astra Softwares be held liable for direct or indirect losses resulting from the use or misuse of content produced by AI tools or third-party APIs. Users accept full responsibility for how they use such outputs.

12. Dispute Resolution
In the event of a dispute arising out of or in connection with these Terms and Conditions, the parties shall attempt to resolve the matter amicably through mutual discussion and negotiation.
12.1 Mediation and Arbitration
If a dispute cannot be resolved through informal negotiations within 30 days, it shall be referred to mediation under a certified Kenyan mediator. If mediation fails, the dispute shall be finally settled through arbitration in accordance with the rules of the Chartered Institute of Arbitrators (Kenya Chapter).
The seat of arbitration shall be Nairobi, Kenya. The language of the proceedings shall be English.
12.2 Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Kenya.
By using our services, you agree to submit to the exclusive jurisdiction of the courts of Kenya for any matters not resolved through arbitration.
